Superlisting.io is an AI-powered SaaS platform designed for Amazon sellers and e-commerce businesses. Current features include, but are not limited to:

• AI-driven listing content creation and optimization
• SEO and keyword research tools
• Listing performance analytics
• Amazon marketplace integrations
• AI Creative Studio: image, video, and creative asset generation powered by third-party AI providers

Feature availability may vary by subscription plan or geographic region. Superlisting.io is an independent company and is not affiliated with, endorsed by, or sponsored by Amazon.com, Inc. or its affiliates. We reserve the right to modify, update, or discontinue features in accordance with these Terms.

3. Account Registration & Eligibility

To register for and use the Service, you must:

• Be at least 18 years of age;
• Provide accurate, current, and complete registration information;
• Maintain the security and confidentiality of your login credentials;
• Promptly notify us of any unauthorized use of your account.

You are responsible for all activity that occurs under your account. Superlisting.io reserves the right to suspend or terminate accounts for misuse, violations of these Terms, or any activity that we reasonably believe poses a risk to the Service or to other users.

4. Subscriptions, Billing & Cancellations

Current plan options and pricing are displayed in your account dashboard.

4.1 Payment Processing

Payments are processed securely through Stripe or similar payment partners. Applicable taxes will be added where required by law, including sales tax, GST, HST, QST, or VAT depending on your jurisdiction.

4.2 Auto-Renewal

All paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can manage or cancel your subscription at any time from your account dashboard.

4.3 Refund Policy

Payments are generally non-refundable, except where required by applicable law, including applicable consumer protection laws in the province of Quebec, Canada. If you believe you are entitled to a refund under applicable law, please contact us at support@superlisting.io.

4.4 Free Trials

If you activate a free trial, you will not be charged until the trial period ends. To avoid charges, you must cancel before the trial expires. Failure to cancel will result in automatic enrollment in the applicable paid plan.

4.5 Chargebacks

If you initiate a chargeback or payment dispute without first contacting us to seek resolution, your account may be immediately suspended pending the outcome of the dispute. Fraudulent chargebacks may result in permanent account termination.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. You may not use the Service to:

• Violate any applicable local, provincial, national, or international law or regulation;
• Violate the policies, terms of service, or guidelines of Amazon.com, Inc. or any other third-party platform;
• Interfere with, disrupt, or compromise the integrity, security, or performance of the Service;
• Upload, generate, publish, or transmit content that is infringing, illegal, defamatory, or harmful;
• Use fraudulent, stolen, or unauthorized payment information;
• Access, tamper with, or use accounts or data not belonging to you;
• Attempt to reverse engineer, decompile, or extract source code or underlying models from the Service.

5.1 Prohibited Uses of AI Features

In addition to the general acceptable use requirements above, you may not use the AI Creative Studio or any AI-powered features of the Service to generate:

• Realistic depictions of identifiable individuals without documented, explicit consent from those individuals;
• Content that infringes upon trademarks, logos, copyrighted materials, brand identities, or proprietary packaging of third parties;
• Deceptive or misleading imagery designed to confuse or defraud consumers;
• Content promoting violence, hatred, discrimination, or illegal activity;
• Non-consensual sexual or intimate content, or any content involving minors in a sexual or exploitative context;
• Content designed to manipulate, game, or circumvent the systems or policies of Amazon or any other marketplace platform.

Superlisting.io reserves the right to remove non-compliant content and to suspend or terminate accounts found to be in violation of these provisions without prior notice.

6. Intellectual Property, User Content & AI Outputs

6.1 Our Intellectual Property

All rights in the Service, including its software, platform architecture, design, branding, trademarks, and underlying code, are and remain the exclusive property of Superlisting.io and its licensors. No intellectual property rights are transferred to you by virtue of your use of the Service unless expressly stated in writing.

6.2 User Content and AI Inputs

“User Content” means any text, data, product information, images, videos, or other materials you upload or submit to the Service. “AI Inputs” means any prompts, instructions, or assets you provide to initiate AI generation.

You retain full ownership of all User Content and AI Inputs. By submitting User Content or AI Inputs, you grant Superlisting.io a limited, non-exclusive, worldwide, royalty-free license to process, store, and use such content solely to operate, maintain, secure, and improve the Service on your behalf.

6.3 AI Outputs: Ownership and Commercial Use Rights

“AI Outputs” or “AI Assets” means any content, images, videos, copy, or creative assets generated through the Service's AI features as a result of your AI Inputs.

To the maximum extent permitted by applicable law:

• You own the AI Outputs generated through your account.
• You have the right to use AI Outputs for commercial purposes, including but not limited to Amazon product listings, advertising campaigns, marketing materials, social media, and other e-commerce applications.
• AI Outputs are not guaranteed to be unique or exclusive. The same or substantially similar content may be generated for other users of the Service or users of third-party AI providers. You are solely responsible for verifying the commercial distinctiveness of any AI Output before use.
• Superlisting.io grants you the right to use AI Outputs commercially subject to: (a) your compliance with these Terms; (b) applicable laws, including intellectual property laws; and (c) the terms and conditions of any third-party AI providers whose models were used to generate the output.

Superlisting.io cannot guarantee the originality, IP clearance, or legal suitability of AI Outputs for any specific commercial purpose. You are responsible for conducting your own due diligence prior to commercial use.

6.4 Use of Third-Party AI Providers

Superlisting.io relies on third-party AI providers to deliver AI-powered text, image, and video generation features. By using AI features within the Service, you authorize Superlisting.io to transmit your User Content and AI Inputs to these third-party AI systems in order to generate AI Outputs on your behalf.

Superlisting.io uses commercially licensed, paid-tier access to third-party AI APIs. Under the applicable terms of our AI providers, your prompts and AI Inputs are not used by those providers to train or improve their AI models.

Superlisting.io is not responsible for: (a) third-party model behavior or limitations; (b) training data used by third-party providers; (c) safety restrictions or content filtering applied by third-party providers; or (d) any changes third-party providers make to their services, terms, or availability. We may adjust, limit, or discontinue AI features to comply with third-party provider requirements without prior notice.

6.5 Attribution

Where required by applicable law or by the terms of our third-party AI providers, attribution to the underlying AI provider may be required when AI Outputs are displayed or distributed. You agree to comply with any such attribution requirements that we communicate to you from time to time.

6.6 Image Rights, Likeness & Model Releases

By uploading images or videos to the Service, you represent and warrant that:

• You own or have obtained all necessary licenses, rights, consents, and permissions for all content you upload, including any identifiable individuals appearing in such content;
• You have obtained valid model releases or consent documentation for any identifiable real persons depicted in uploaded or generated content, as required by applicable law;
• Your uploaded content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party.

Superlisting.io does not verify, validate, or clear the rights status of uploaded content. You are entirely responsible for the lawful use of all content uploaded and all AI Outputs generated through your account.

6.7 No Warranty of Legal or Platform Compliance

Superlisting.io does not guarantee that AI Outputs: (a) comply with Amazon marketplace policies or the policies of any other platform; (b) are legally non-infringing with respect to copyright, trademark, or any other intellectual property right; or (c) are accurate, complete, or reliable for any particular purpose. You are solely responsible for reviewing all AI Outputs before use in any commercial, advertising, or marketplace context.

7. Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and processing of your information as described in our Privacy Policy. Our Privacy Policy explains, among other things, what data we collect, how it is used, and your rights with respect to that data.

8. Service Availability & Force Majeure

We make commercially reasonable efforts to maintain reliable and uninterrupted access to the Service, but we do not guarantee any specific uptime or availability. We are not liable for any delays, outages, data loss, or service interruptions caused by circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet infrastructure failures, third-party service outages, cyberattacks, or labor disputes.

9. Disclaimers

The Service is provided on an “as is” and “as available” basis without warranties of any kind. To the maximum extent permitted by applicable law, Superlisting.io expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Superlisting.io does not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) any AI Outputs will be accurate, complete, non-infringing, or suitable for commercial use; or (d) any errors or defects will be corrected.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Superlisting.io and its officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of the Service, even if advised of the possibility of such damages.

In all cases, Superlisting.io's total cumulative liability to you for any claims arising from or related to your use of the Service shall not exceed the greater of: (a) the total amounts you paid to Superlisting.io in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred Canadian dollars (CAD $100).

Some jurisdictions, including Quebec, do not allow the exclusion or limitation of certain types of damages. In such jurisdictions, our liability shall be limited to the minimum extent permitted by applicable law.

11. Indemnification

Subject to the limitations set out below, you agree to indemnify and hold harmless Superlisting.io and its affiliates, officers, directors, employees, and agents (each, an “Indemnified Party”) from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) (“Losses”) arising out of or relating to:

• Your User Content or AI Inputs;
• Your AI Outputs and your commercial use thereof;
• Your use of the Service in violation of these Terms;
• Your violation of any applicable law or regulation;
• Your infringement of any third-party intellectual property, privacy, or other rights.

Procedure: (a) Superlisting.io will promptly notify you in writing of any claim for which indemnification is sought, provided that failure to provide timely notice will not relieve you of your indemnification obligations except to the extent you are materially prejudiced by such failure; (b) you will have the right to assume sole control of the defense and settlement of the claim, provided that you may not settle any claim that imposes any obligation, restriction, or liability on an Indemnified Party without Superlisting.io's prior written consent, not to be unreasonably withheld; and (c) Superlisting.io will provide reasonable cooperation in the defense of the claim at your expense. Superlisting.io reserves the right to participate in the defense of any claim at its own expense with counsel of its choice.

Limitations: Your indemnification obligations under this Section are limited to Losses directly arising from the triggering acts or omissions set out above, and do not extend to Losses attributable to the gross negligence or willful misconduct of any Indemnified Party.

12. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Subject to any mandatory consumer protection provisions under applicable Quebec law, any disputes arising out of or relating to these Terms or the Service must be submitted exclusively to the courts located in Montreal, Quebec, Canada, and you irrevocably consent to the personal jurisdiction of such courts.

13. Dispute Resolution

We encourage you to contact us first at support@superlisting.io to seek an informal resolution of any dispute. We will make good-faith efforts to resolve disputes amicably within 30 days of receiving written notice.

If informal resolution is unsuccessful, disputes will proceed before the courts of Montreal, Quebec, as provided in Section 12.

14. Termination

Superlisting.io may suspend or terminate your access to the Service at any time, with or without notice, for: (a) violations of these Terms; (b) activities that we reasonably believe pose a risk to the Service, other users, or third parties; or (c) as required by applicable law.

You may terminate your account at any time by cancelling your subscription through your account dashboard and ceasing all use of the Service.

Upon termination, Sections 6.1, 9, 10, 11, 12, and 15 shall survive and remain in full force and effect.

15. Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remainder of these Terms shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Superlisting.io with respect to your use of the Service. They supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether written or oral, relating to the subject matter herein.
